Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the Spend AI mobile application (the "App"), provided by Spend AI Ltd. ("we," "us," or "our"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. WHO CAN USE THE APP

You must be at least 13 years old, or 16 years old if you are located in the European Economic Area, to create an account. By creating an account, you represent that you meet this requirement, that the information you provide is accurate, and that you will keep it accurate.

2. YOUR ACCOUNT

You are responsible for safeguarding your account credentials and for any activity under your account. Notify us immediately at info@spendaiapp.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms.

3. WHAT THE APP DOES

Spend AI is a personal finance tracking tool. It lets you log your own transactions, set budgets and goals, track subscriptions, and view insights generated from the data you enter. The App does not connect to your bank accounts and does not move money on your behalf.

4. SUBSCRIPTIONS

The App is free to download and includes basic features at no cost. Premium features ("Spend AI Pro") are available via auto-renewing subscriptions purchased through the Apple App Store.

a) Current pricing

  • Monthly: US$3.99 per month
  • Yearly: US$35.99 per year. New yearly subscribers receive a 7-day free trial; after the trial, the subscription auto-renews at the yearly price.

Apple may display localized pricing in your store currency. Apple's price at the moment of purchase is authoritative.

b) Billing

Payment is charged to your Apple ID at confirmation of purchase. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.

c) Cancellation and refunds

You can manage or cancel your subscription at any time through Settings on your Apple device (Settings → [your name] → Subscriptions). Cancelling stops the next renewal but does not refund the current period. We do not process refunds directly; refund requests must be submitted to Apple via https://reportaproblem.apple.com.

d) Free trials

Free trials, where offered, convert into a paid subscription at the end of the trial period unless cancelled before the trial ends.

5. APPLE'S STANDARD EULA

If you obtained the App from the Apple App Store, you also agree to Apple's Licensed Application End User License Agreement, available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. You acknowledge that:

  • These Terms are between you and Spend AI Ltd., not Apple. Apple is not responsible for the App or for any claims relating to the App.
  • Apple has no obligation to provide maintenance or support for the App.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the App.
  • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you as a third-party beneficiary.

6. ACCEPTABLE USE

You agree not to:

  • Reverse-engineer, decompile, or attempt to extract source code from the App
  • Use the App to violate any law or the rights of others
  • Use the App to store or transmit unlawful content
  • Attempt to gain unauthorized access to our systems or to another user's data
  • Resell, rent, or sublicense the App or your account
  • Use automated means to interact with the App in ways that interfere with other users
  • Submit content that is fraudulent, defamatory, or designed to deceive

7. INTELLECTUAL PROPERTY

The App, its design, code, branding, and content (other than data you enter) are owned by Spend AI Ltd. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes, subject to these Terms.

You retain ownership of the data you enter. You grant us a limited license to process that data solely to operate the App for you, as described in our Privacy Policy.

8. NOT FINANCIAL ADVICE

Spend AI is a personal finance tracking tool and is not financial, investment, tax, accounting, or legal advice. Please see our Financial Disclaimer at https://spendaiapp.com/financial-disclaimer for details. By using the App, you confirm that you have read and accepted that Disclaimer.

9. DISCLAIMER OF WARRANTIES

The App is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Spend AI Ltd. and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising from or related to your use of the App. Our total cumulative liability for any claim arising from these Terms or the App shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) US$50.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Spend AI Ltd. and its officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party right.

12. TERMINATION

You may stop using the App and delete your account at any time via Settings → Account → Delete account. We may suspend or terminate your access to the App if you violate these Terms or if we are required to do so by law. Sections of these Terms that by their nature should survive termination (including ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution) will survive.

13. CHANGES TO THESE TERMS

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. If changes are material, we will notify you inside the App before they take effect. Continued use of the App after changes means you accept the revised Terms.

14. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising from or related to these Terms or the App shall be brought exclusively in the courts located in the State of Delaware, USA, except where required otherwise by applicable consumer protection laws.
